1. Introduction and Acceptance

These Terms of Service ("Terms") are a legally binding agreement between you ("you", "your") and Zeqi Technology Ltd. ("Zeqi", "we", "us", or "our"), a company registered in the Dubai International Financial Centre (DIFC), Dubai, United Arab Emirates.

These Terms govern your access to and use of the PPL platform ("Platform"), including all associated websites, applications, APIs, and services operated by Zeqi.

By creating an account, accessing the Platform, or using any part of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

We may also provide supplementary terms or policies for specific features or services. Where applicable, those supplementary terms will be presented to you and form part of your agreement with us.


2. Definitions

In these Terms, the following definitions apply:

  • "Platform" — the PPL web application and all related services operated by Zeqi Technology Ltd.
  • "Client" — any individual or organisation that creates an account on the Platform to create hiring briefs, review candidates, and use hiring intelligence features.
  • "Candidate" — any individual who applies for a role through the Platform, completes an assessment, or whose application is processed by the Platform.
  • "Visitor"— any person who accesses the Platform's public-facing pages without creating an account.
  • "Brief" — a structured hiring brief created by a Client on the Platform, containing role requirements, preferences, and evaluation criteria.
  • "Credit" — a unit of value within the Platform that is consumed when using certain services, such as generating candidate reports.
  • "Subscription" — a recurring yearly plan that grants access to Platform features and includes a defined allocation of Credits.
  • "Report" — any AI-generated document produced by the Platform, including candidate fit reports, screening summaries, and assessment results.
  • "Content" — all text, data, files, images, and other materials uploaded to or generated by the Platform.

3. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age.
  • Have the legal capacity and authority to enter into a binding agreement. If you are using the Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.
  • Provide accurate, current, and complete information during registration and throughout your use of the Platform.

Use of the Platform by anyone under 18 is strictly prohibited. We do not knowingly collect data from individuals under 18 years of age.


4. Account Registration and Security

To access certain features of the Platform, you must create an account. When registering, you agree to:

  • Provide truthful and accurate registration information.
  • Maintain the confidentiality of your login credentials.
  • Accept responsibility for all activity that occurs under your account.
  • Notify us immediately at support@therightppl.com if you suspect any unauthorised access to or use of your account.

Each individual may maintain only one account. Creating multiple accounts to circumvent Platform limits, abuse promotional offers, or for any other purpose is prohibited and may result in immediate suspension or termination.

Zeqi is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.


5. Nature of the Service

PPL is a decision-support platform designed to assist companies in structuring hiring briefs, sourcing candidates, filtering applications, and identifying potential role fit.

PPL:

  • Provides structured analysis based on role requirements and candidate-provided information.
  • Uses automated systems to assist in pre-selection and assessment.
  • Generates compatibility reports and structured recommendations.

PPL does not:

  • Make hiring decisions.
  • Act as an employer, recruitment agency, or placement firm.
  • Guarantee candidate suitability or job placement.
  • Replace human judgment in the hiring process.

All hiring decisions remain solely the responsibility of the hiring company. PPL provides analytical assistance only.


6. Subscriptions, Credits, and Payments

The Platform offers the following purchase options:

  • Yearly subscriptions — recurring annual plans that grant access to Platform features and include a defined Credit allocation.
  • Credit top-ups — one-time purchases of additional Credits.
  • One-time per-brief purchases — single-use purchases for specific hiring briefs without a subscription.

New accounts receive a one-time signup bonus of 1 Credit. This bonus is non-transferable and subject to the Credit Policy in Section 7.

Auto-renewal: Yearly subscriptions automatically renew at the end of each billing cycle unless cancelled at least 30 days before the renewal date. Upon renewal, the subscription fee in effect at the time of renewal will be charged.

Payment processing:All payments are processed securely through Stripe, our third-party payment processor. By making a purchase, you agree to Stripe's terms of service. We do not store credit card numbers or payment card details on our servers.

Pricing changes:We reserve the right to modify pricing at any time. Price changes for existing subscriptions will take effect at the next renewal cycle. We will provide at least 30 days' notice before any price increase takes effect.


7. Credit Policy

Credits are consumed when you use certain Platform services, such as generating candidate Reports. The following rules apply to Credits:

  • Subscription Credits — Credits included with a Subscription expire at the end of the subscription term (12 months from activation). Unused subscription Credits do not roll over.
  • Top-up Credits — Credits purchased as one-time top-ups do not expire.
  • One-time purchase Credits — Credits associated with per-brief purchases do not expire.
  • Signup bonus Credits — The 1-Credit signup bonus does not expire.

Credits are non-transferable between accounts. Credits have no cash value and cannot be exchanged for currency.

When Credits are consumed, subscription Credits are used first, followed by top-up and bonus Credits. This ensures that expiring Credits are prioritised.


8. Refund Policy

All purchases on the Platform — including subscriptions, credit top-ups, and one-time brief purchases — are final. No refunds will be issued.

If you cancel a subscription before the end of the billing cycle, you will retain access to your subscription benefits until the end of the current paid period. No partial refund or credit will be provided for the remaining unused portion of the subscription term.

In exceptional circumstances, refund requests may be reviewed on a case-by-case basis at Zeqi's sole discretion. To submit a request, contact support@therightppl.com.


9. No Discrimination Policy

PPL is designed to evaluate candidates based solely on role-relevant criteria defined within the hiring brief.

The Platform does not intentionally process or evaluate candidates based on:

  • Race or ethnicity
  • Colour
  • Gender or gender identity
  • Sexual orientation
  • Religion
  • Age
  • Disability
  • Marital status
  • National origin
  • Any other legally protected characteristic

PPL's systems are structured to focus on skills, contextual suitability, and role-specific requirements.

Users of the Platform are solely responsible for ensuring that their hiring practices comply with applicable laws in their jurisdiction.


10. User Responsibilities (Clients)

As a Client using the Platform, you agree to:

  • Provide accurate and complete job descriptions and role requirements.
  • Use the Platform and its outputs in good faith.
  • Make final hiring decisions independently, using your own judgment.
  • Ensure compliance with all applicable employment laws in your jurisdiction.
  • Not use the Platform to discriminate unlawfully against any person.
  • Not rely solely on AI-generated Reports for hiring decisions without independent human review.
  • Create accurate and truthful hiring briefs that reflect genuine role requirements.
  • Not misuse, misrepresent, or redistribute AI-generated outputs in a manner that could mislead candidates, other organisations, or the public.

PPL provides analytical assistance only. Clients bear full responsibility for all hiring decisions and their consequences.


11. Candidate Responsibilities

As a Candidate using the Platform, you agree that:

  • All information you submit — including CVs, profile data, and application materials — is accurate and truthful.
  • Assessments and evaluations reflect your own genuine responses. Having a third party complete assessments on your behalf is prohibited.
  • You understand that PPL provides analysis to hiring companies but does not guarantee interviews, offers, or employment.
  • You will not attempt to manipulate, game, or circumvent Platform assessments.

Submitting fraudulent or misleading information may result in disqualification from the hiring process and suspension of your access to the Platform.


12. Acceptable Use

You agree not to use the Platform to:

  • Scrape, crawl, or use automated tools to extract data from the Platform without prior written consent.
  • Reverse engineer, decompile, or disassemble any part of the Platform's software or AI models.
  • Create fake or fraudulent accounts, briefs, or candidate profiles.
  • Manipulate or game assessments, scoring, or recommendation algorithms.
  • Upload malware, viruses, or any malicious code.
  • Circumvent, disable, or interfere with the Platform's security features or access controls.
  • Use the Platform to harass, abuse, threaten, or harm any person.
  • Transmit unsolicited communications, spam, or promotional material through the Platform.
  • Use the Platform in any manner that violates applicable laws or regulations.

Violation of this Acceptable Use policy may result in immediate suspension or termination of your account, at Zeqi's sole discretion.


13. Intellectual Property

Platform and AI

The Platform, including its software, AI models, algorithms, methodologies, user interface designs, and all associated intellectual property, is owned by Zeqi Technology Ltd. and protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights in the Platform to you.

Generated Reports

Reports and outputs generated by the Platform are provided under a limited, non-exclusive, non-transferable licence for your internal business purposes only. You may not resell, sublicence, or publicly distribute Reports without Zeqi's prior written consent.

Client Data

Data uploaded by Clients — including company information, job briefs, and related materials — remains the property of the Client. By uploading data, you grant Zeqi a limited licence to process it solely for the purpose of providing the Platform services.

Candidate Data

Personal data and materials submitted by Candidates — including CVs, assessment responses, and profile information — belong to the respective Candidates. Processing of Candidate data is governed by our Privacy Policy.


14. Data Usage and Privacy

PPL processes candidate and company data solely to deliver Platform services, including:

  • Generating hiring briefs and company profiles
  • Analysing and screening candidate applications
  • Producing compatibility scoring and fit reports
  • Conducting personality and competency assessments
  • Delivering reports to the hiring company

Data is not sold to third parties.

Data is not used for unrelated commercial purposes.

Data is processed only as necessary to deliver the services described herein.

15. AI and Automated Processing

The Platform uses artificial intelligence and automated systems to assist in evaluating candidate fit, generating reports, and structuring hiring intelligence.

These systems:

  • Operate based on structured role requirements provided by Clients.
  • Generate compatibility outputs, scores, and recommendations.
  • Do not make final hiring decisions.

All AI outputs are advisory in nature. The Platform is a decision-support tool — not a decision-maker. Zeqi does not guarantee the accuracy, completeness, or reliability of any AI-generated output. Clients must exercise independent human judgment before acting on any Report or recommendation.

Human oversight and final decision-making authority remain with the hiring organisation at all times.

Candidates have the right to request human review of any automated assessment outcome. Such requests can be submitted to support@therightppl.com.


16. Third-Party Services

The Platform integrates with and relies upon third-party service providers to deliver its functionality. These include, but are not limited to:

  • Payment processing — Stripe processes all payment transactions.
  • Cloud infrastructure — hosting, data storage, and authentication services.
  • AI processing providers — for candidate screening, document analysis, and natural language processing.
  • Email delivery — for transactional and service-related communications.

These third-party services are governed by their own terms of service and privacy policies. Zeqi is not responsible for the acts, omissions, or failures of any third-party provider.

Your use of the Platform constitutes acceptance that certain aspects of the service depend on third-party infrastructure and that Zeqi's liability for third-party service interruptions is limited as described in Section 20.


17. Service Availability

Zeqi strives to maintain the availability and performance of the Platform but does not guarantee uninterrupted or error-free access. The Platform may be temporarily unavailable due to:

  • Scheduled maintenance and updates.
  • Unplanned technical issues or system failures.
  • Force majeure events, including natural disasters, acts of war, government actions, epidemics, power outages, telecommunications failures, or other events beyond Zeqi's reasonable control.

Zeqi will use reasonable efforts to provide advance notice of scheduled maintenance. No service-level agreement (SLA) or uptime guarantee is provided unless separately agreed in writing.


18. Termination and Suspension

Voluntary Cancellation

You may cancel your account or subscription at any time. Upon cancellation, you will receive a 30-day grace period during which your account will be placed in read-only mode. During this period, you may export your data but may not create new briefs, generate reports, or consume Credits. At the end of the grace period, your account will be deactivated and data will be handled in accordance with our Privacy Policy retention schedule.

Termination for Cause

Zeqi reserves the right to immediately suspend or terminate your account without notice if you breach these Terms, engage in prohibited conduct, compromise Platform security, or act in a manner that Zeqi reasonably believes is harmful to other users or to the Platform.

Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Any unused Credits are forfeited and no refund will be issued. Sections of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and dispute resolution — will remain in effect.


19. Warranty Disclaimers

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

To the maximum extent permitted by applicable law, Zeqi disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose.
  • Warranties that the Platform will be uninterrupted, timely, secure, or error-free.
  • Warranties regarding the accuracy, reliability, or completeness of any AI-generated output, Report, or recommendation.
  • Warranties that the Platform will meet your specific requirements or expectations.

No output of the Platform should be treated as a guarantee of candidate suitability, job performance, or hiring outcomes.


20. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Zeqi's total aggregate liability to you for any and all claims arising out of or in connection with these Terms or your use of the Platform shall not exceed the total fees paid by you to Zeqi in the 12 months immediately preceding the event giving rise to the claim.
  • In no event shall Zeqi be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunities, or reputational damage, regardless of the cause of action or theory of liability.

Without limiting the foregoing, Zeqi is not liable for:

  • Hiring decisions made by Clients.
  • Business outcomes resulting from hiring decisions informed by Platform outputs.
  • Candidate performance post-hire.
  • Inaccurate or dishonest information provided by Candidates during assessments.
  • Interruptions or failures caused by third-party service providers.

The Platform provides analytical assistance only. All decisions and their consequences remain the responsibility of the user.


21. Indemnification

You agree to indemnify, defend, and hold harmless Zeqi Technology Ltd., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Platform or violation of these Terms.
  • Hiring decisions you make based on or informed by Platform outputs.
  • Claims by Candidates, employees, or third parties relating to your hiring practices.
  • Any discriminatory, unlawful, or negligent conduct on your part in connection with the hiring process.
  • Your violation of any applicable law, regulation, or third-party right.

This indemnification obligation survives the termination of your account and these Terms.


22. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC).

Informal Resolution

Before initiating formal proceedings, the parties agree to attempt in good faith to resolve any dispute through direct negotiation. Either party may initiate this process by sending written notice to the other party. The parties shall have 30 days from receipt of such notice to reach a resolution.

Arbitration

If the dispute is not resolved through informal negotiation, it shall be referred to and finally resolved by binding arbitration administered under the rules of the DIFC-LCIA Arbitration Centre (or its successor body). The arbitration shall be conducted in the English language and seated in the DIFC, Dubai. The arbitral award shall be final and binding on both parties.

Court Jurisdiction

Where arbitration is not applicable or where interim relief is sought, the courts of the DIFC shall have exclusive jurisdiction.


23. Modifications to Terms

Zeqi reserves the right to modify these Terms at any time. When we make changes, we will update the "Effective Date" at the top of this page and, for material changes, notify you by email or through a prominent notice on the Platform.

Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Platform and cancel your account.

We encourage you to review these Terms periodically to stay informed about the conditions governing your use of the Platform.


24. Severability and Waiver

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

The failure of Zeqi to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision shall be effective only if in writing and signed by Zeqi.
